The Minimal Habits website (the “Website”) is provided by HEALTH WITHIN LIMITED, a company registered in Hong Kong, along Minimal Habits’ email, notifications and any information or content appearing therein (collectively, the “Services”).

Use of the Website, email notifications or any Services is subject to the following terms and conditions of service (the “Terms”).

BY ACCESSING OR USING ANY MINIMAL HABITS SERVICES, YOU ARE DEEMED TO HAVE AGREED TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IT IS YOUR RESPONSIBILITY TO ENSURE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND ANY ACCOMPANYING RISKS AND OBLIGATIONS.

The term below can be capitalized or not.

"Terms and Conditions" refer to this specific document/page. They can be referred as "Terms".

“We” refers to the team at Minimal Habits, a company registered under HEALTH WITHIN LIMITED, Hong-Kong.

The terms “user,” “you,” and “your” refers to:

a) any company identified during the payment and/or booking process

b) any site visitors, customers, paid or not, and any other users of the site.

The terms “service” or “services” refer to the blog, podcast, digital or physical products, courses, private coaching, consulting and group programs, paid or free.

These terms & conditions apply to all transactions concluded through the websites of HEALTH WITHIN LIMITED network.

Is considered as "client" any natural or legal person making with the company HEALTH WITHIN LIMITED an order validated via our secure payment platform, or by bank transfer, or receiving a free or probono service from HEALTH WITHIN LIMITED.

Age restrictions apply: The company HEALTH WITHIN LIMITED only accepts clients over 18 years old (for physical and electronic products and for services such as coaching, programs, workshops, seminars). We do our best to restrict access to our sites, products and services to minors. Even if the content of our products and services is not of a shocking nature, we prefer to target a mature audience capable of understanding the implications and responsibilities of the business world. Any subscriber to the newsletter who does not meet these criteria (age over 18) will be immediately deleted from our database as soon as this is brought to our attention. Likewise, any customer who does not meet these criteria will be immediately reimbursed and a return of the product(s) concerned will be required.

These services can be delivered in person or online, and take the form of calls, video calls, emails, messages, questionnaires, quizz, motivational groups, programs and courses, on the Minimal Habits website, or using third-parties applications, websites or softwares.

Any order placed on a site belonging to the company HEALTH WITHIN LIMITED implies full and unreserved acceptance of these general conditions of sale.

Prices are indicated in American dollars. The price of our services can be changed at any time. However, the price applied to an order will be that announced at the time of the order.

Payment is due immediately on the date of the order. You can pay by credit card or Paypal. Secure online payment by credit card is made through the company Stripe. The information transmitted is encrypted by software in the rules of the art and cannot be read during transport over the network. Any guarantee as to the security of this system is entirely the responsibility of the company Stripe and cannot be attributed to us.

ABOUT SUBSCRIPTIONS

Payment terms

By purchasing a Monthly Subscription, you agree to an initial and recurring Monthly Subscription fee at the then-current Monthly Subscription rate, and you accept responsibility for all recurring charges until you cancel your subscription. You may cancel your Monthly Subscription at any time, subject to the terms of our cancellation policy.

Automatic monthly renewal terms

Once you subscribe, Minimal Habits will automatically process your Monthly Subscription fee in the next billing cycle and will continue to automatically process your Monthly Subscription fee each month at the then- current Monthly Subscription rate, until you cancel your subscription. We explain how to cancel your Monthly Subscription below at the Section "Cancellation Policy".

Failed Payments

When you attempt to purchase a subscription on Minimal Habits, there may be a failed payment.

Our system will make a second attempt seven (7) days after the first attempt. If another payment failure occurs, a third attempt will be made after another seven (7) days and if another payment failure occurs, after seven (7) days, a fourth and final attempt will be made before the subscription is automatically canceled.

There will be a total of three (3) payment attempts after the main one, with an interval of seven (7) days, after which the subscription will be canceled.

Note: The delay between each attempt is 7 days when the payment method used is a credit card, for those who pay via PayPal, the delay is 5 days instead of 7 days.

In case of failed payment, access to your subscribed service will be suspended after the second failed attempt (seven (7) days). It will resume in 2 business days after your payment is successfully received.

Termination of subscriptions

You can cancel your monthly subscription anytime by emailing us at info@minimal-habits.com.

Please note the following:

- We have a no-refund policy on all our services

- We advise you to contact us at least 3 business days prior to your subscription's auto-renewal date, so your subscription is not renewed for another month.

- Access to your subscribed services will be canceled as soon as we proceed to the cancellation of your subscription's auto-renewal.

Delivery of the service is made through the email address you have specified when placing your order (therefore, pay particular attention to the spelling of the address you enter), and through calls (video or not), programs, documents and any other forms and processes relevant to the field of coaching and consulting, including external platforms and applications related to coaching and habit tracking.

a) Other than content generated by User, Minimal Habits owns copyright in the content of this website. You may download and temporarily store one or more of the pages for the purposes of viewing them and you may print any page from this website for use only by User.

b) Any other storage, copying, transmission or distribution of the content of this website as well as creation of any derivative works with respect to the website is prohibited without our consent, with the exception of the material included in the services rendered to you.

c) So long as the User complies with these Terms, Minimal Habits grants the User a worldwide, limited non-exclusive, royalty-free, non-assignable, non-transferable and revocable licence to use the website in order to gain access to Minimal Habits’ Services.

d) The marks ‘Minimal Habits’ and its logo, are trademarks of Health Within Limited, and nothing in these Terms gives User the right to use those trademarks without Minimal Habits’ prior written approval.

e) Minimal Habits and User may use third party software and application programming interfaces (“APIs”) when delivering and receiving Minimal Habits' services, paid or not. Minimal Habits does not guarantee the reliability of such third-party software or APIs. The User agrees that HEALTH WITHIN LIMITED is not liable for any loss or damage arising out of the use of such third-party software or APIs to access any information, the website or its services.

In connection with their performance under these Terms, each party may from time to time make certain information available to the other party that is not generally known to the public at the time of its disclosure and is either identified as, or should reasonably be understood by the receiving party to be, proprietary or confidential (the “Confidential Information”). Confidential Information specifically includes, but is not limited to, the terms of any order form(s) entered into by the parties, calls, video calls, emails, User content, business plans, roadmaps, strategies, forecasts, projects and assessments.

Confidential information does not include information that: (a) is or becomes publicly available without breach of these Terms by the receiving party; (b) was known to the receiving party prior to its disclosure by the disclosing party; (c) is or was independently developed by the receiving party without the use of any Confidential Information of the disclosing party; or (d) is or was lawfully received by the receiving party from a third party under no obligation of confidentiality.

Without the express prior written permission of the disclosing party, or as required by law, the receiving party will not disclose, transmit, or otherwise disseminate to any third party any Confidential Information of the disclosing party and will use at least the same degree of care and discretion with respect to the Confidential Information received from the disclosing party as it uses with its own similar information, but in no event less than a reasonable degree of care. The receiving party may disclose the disclosing party’s Confidential Information to its employees, consultants, subcontractors, agents, or advisors (collectively known as “Representatives”) who have a strict need to access the Confidential Information for the purpose of performing under these Terms and only to those who are obligated to maintain the confidentiality of such Confidential Information under terms that are at least as protective as the terms set forth in these Terms. Either party may disclose these Terms to potential parties to a bona fide fundraising, acquisition, or similar transaction solely for the purposes of the proposed transaction, provided that any such potential party is subject to written non-disclosure obligations and limitations on use that are no less protective than those set forth herein.

We want you to understand why and how HEALTH WITHIN LIMITED collects, uses, discloses and or/processes your Personal Data (as defined below) under Hong Kong’s Personal Data Privacy Ordinance (Cap. 486) (the “PDPO”) and and the European General Data Protection Regulation (the “GDPR”).
